Terms of Service

These Terms of Service ("Terms") govern your use of beily.io and the services provided by Beily Inc. ("Beily", "we", "us"). By using our website or subscribing to our services, you agree to these Terms.

Business customers only

Beily's services are provided to businesses and to people acting for purposes relating to their trade, business, or profession. By subscribing, you confirm that you are contracting as a business and not as a consumer. Consumer-protection rules that apply to individual consumers, such as a statutory cooling-off or withdrawal period, do not apply to a business contract. Because our services begin as soon as your subscription starts, performance begins immediately once you subscribe.

The service

Beily provides done-for-you digital operations for small businesses, which may include review management, a website, and social media, depending on the plan you choose. The features of each plan are described on our Plans page.

Where Beily is available

Beily is currently offered to businesses located in the United States, Canada, and Australia. You may only subscribe if your business is located in one of these countries. We expect to add more countries over time.

Accounts and eligibility

You must provide accurate information and be authorized to act for the business you represent. You are responsible for the activity that happens through your account.

Subscriptions, billing, and cancellation

Our services are offered as monthly subscriptions billed in advance through our payment processor, Stripe. Prices are in US dollars and are exclusive of any value-added tax (VAT) or similar taxes. Where sales tax, GST, or VAT applies to a business customer outside the United States, such as in Canada or Australia, you are responsible for accounting for it where the law requires. You can upgrade, downgrade, or cancel at any time from your account, and cancellation takes effect at the end of your current billing period. We do not require long-term contracts. We may change our prices with reasonable notice.

Your responsibilities and acceptable use

You agree to give us the information and account access we need to provide the services, and to use Beily lawfully. You may not use our services to post unlawful, misleading, or harmful content.

Data protection

How we handle personal information is described in our Privacy Policy. Where we process personal data on your behalf as part of the services, for example your customers' booking or review details, that processing is governed by our Data Processing Agreement, which forms part of these Terms.

Content and approvals

You can review and approve content before it is published, or authorize us to publish on your behalf. You are responsible for the content you approve or authorize, and you confirm you have the rights to any materials you provide to us.

Intellectual property

We retain ownership of Beily's brand, software, and systems. Content we create for your business, such as your website, is yours to use for your business. You keep ownership of the materials you provide.

Third-party platforms

Our services work with third-party platforms such as Google, Yelp, Facebook, and Instagram, which have their own terms. We act on your behalf on those platforms, and we are not responsible for their availability or decisions.

Disclaimers

Our services are provided on an "as is" and "as available" basis. We do not guarantee specific outcomes, such as a particular number of reviews, search rankings, or results.

Limitation of liability

To the fullest extent permitted by law, Beily will not be liable for indirect, incidental, or consequential damages. Our total liability for any claim relating to the services is limited to the amount you paid us in the three months before the claim.

Termination

You may cancel at any time. We may suspend or end the services if these Terms are violated or as needed to comply with the law.

Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles.

Changes to these Terms

We may update these Terms from time to time. The effective date above shows when they were last changed, and continued use of the services means you accept the updated Terms.
